In that respect, you grant Herbnatura.com a worldwide, perpetual (as permitted by law), irrevocable, royalty-free, sublicensable (through multiple tiers) and transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from, sell and distribute, or incorporate any Content you submit to Herbnatura.com into any form, medium or technology, and exercise any and all copyright, trademark, publicity, and database rights you have in the Content, in any media known now or in the future. Herbnatura.com reserves the right to change or delete any Content for any reason that Herbnatura.com deems, in its sole discretion, is necessary, including, without limitation, correction of typographical errors or to address violations of the Terms of Use. Although you may request that we remove your Content from the Website or Services after such Content has been published, Herbnatura.com retains the sole and exclusive discretion to determine whether to remove said Content as requested.
PAID CONTENT SUBMISSIONS: Through the Website and Services, Herbnatura.com offers certain users the ability to receive monetary compensation for certain Content submissions. The following terms (including those incorporated by referenced below and the section entitled “Your Grant to Herbnatura.com of EXCLUSIVE License to Content” below) govern payments to users related thereto and arising therefrom:
The amount of payment shall be calculated as provided on the specific submission page for the subject Content and any terms and conditions set forth of such page and incorporated herein by reference;
If payments from Herbnatura.com to you exceed US$600.00, you acknowledge and agree that he or she must provide a US Tax Identification number (Social Security number or otherwise) to Herbnatura.com in order to be eligible to receive any further payments;
No payments shall be made to any user for Content submissions unless and until the amount owed exceeds US$10.00;
Payments shall be made on a monthly basis typically by the 30th day of the month following Herbnatura.com’ acknowledge of acceptance of the Content;
Your Grant to Herbnatura.com of EXCLUSIVE License to Paid Content. We do not claim authorship of the Content you submit to us and will provide attribution to your username in relation to displays of your Content. However, by submitting Content to the Website or Services and in consideration of Herbnatura.com’ payment to you for said Content, you representing and warranting that the Content you submit has not been posted, displayed or otherwise published on any other website or mobile application and are solely granting Herbnatura.com the exclusive right to display your Content on the Website as we deem appropriate in our sole and exclusive discretion. In that respect, you grant Herbnatura.com a worldwide, perpetual (as permitted by law), irrevocable, royalty-free, sublicensable (through multiple tiers) and transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from, sell and distribute, or incorporate any Content you submit to Herbnatura.com into any form, medium or technology, and exercise any and all copyright, trademark, publicity, and database rights you have in the Content, in any media known now or in the future. Any submission of the Content by you or anyone affiliated with you to any other website, mobile application or other online forum or blog shall constitute a breach of the exclusive license and shall entitled Herbnatura.com to seek damages against you, including, without limitation, recovery of any sums paid by Herbnatura.com to you. Herbnatura.com reserves the right to change or delete any Content for any reason that Herbnatura.com deems, in its sole discretion, is necessary, including, without limitation, correction of typographical errors or to address violations of the Terms of Use. Although you may request that we remove your Content from the Website or Services after such Content has been published, Herbnatura.com retains the sole and exclusive discretion to determine whether to remove said Content as requested.
No Employment Relationship
Herbnatura.com is not an employment service and does not serve as an employer of any user (regardless of the volume of Content submissions to any Herbnatura.com website). Herbnatura.com is not be liable for any tax or withholding, including but not limited to unemployment insurance, employer’s liability, social security or payroll withholding tax in connection with your use of the Website or Services. You understand and agree that, if Herbnatura.com is found to be liable for any tax or withholding tax in connection with your use of the Website or Services, then you will immediately reimburse and pay to Herbnatura.com an equivalent amount, including any interest or penalties thereon.
No Agency Relationship
No agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by the Terms of Use. Without limiting the foregoing, except as expressly set forth herein, the Herbnatura.com is not acting and does not act as an agent for any user or visitor of the Website or Services.
Taxes
You are solely responsible for complying with all applicable tax laws and regulations related to your use of the Website and Services. Without limiting the foregoing, each user who receives any compensation from Herbnatura.com relative to any content submission(s) is solely responsible for determining any applicable local indirect taxes and for including such taxes or obligations related to such taxes in content submissions. Copyright Infringement Notice:

In the event of termination for violation of the Terms of Use, Herbnatura.com reserves the right to refuse payment of any outstanding amounts owed to the user for content submissions. Termination by Herbnatura.com shall include removal of access to all Services, deletion of your password, deletion of all related information and files, may include the deletion of the Content associated with your account (or any part thereof), and other steps intended to bar your further use of the Website or Services.
Modification, Limitation and Discontinuance of Website/Services.Herbnatura.com reserves the right at any time to limit access to, modify, change or discontinue any aspect of the Website or Services with or without notice to you. In no event will Herbnatura.com be liable to you for any such modification, suspension or discontinuance of the Website or Services. We also retain the right to create limits on use and storage at our sole discretion at any time without prior notice to you. YOU EXPRESSLY UNDERSTAND AND AGREE THAT HERBNATURA.COM WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COMPENSATORY, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF HERBNATURA.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) (COLLECTIVELY, “DAMAGES”), RESULTING FROM: (A) THE USE OR INABILITY TO USE ANY ASPECT OF THE SERVICES; (B) THE COST OF ANY GOODS AND/OR SERVICES PURCHASED OR OBTAINED AS A RESULT OF THE USE OF SERVICES; (C) DISCLOSURE OF, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR INFORMATION OR CONTENT; (D) CONTENT YOU SUBMIT, RECEIVE, ACCESS, TRANSMIT OR OTHERWISE CONVEY THROUGH THE SERVICES; (E) STATEMENTS OR CONDUCT OF ANY SERVICE PROVIDERS OR OTHER THIRD PARTY THROUGH THE SERVICES; (F) ANY OTHER MATTER RELATING TO THE SERVICES; (G) ANY BREACH OF THIS AGREEMENT BY HERBNATURA.COM OR OUR FAILURE TO PROVIDE THE SERVICES UNDER THIS AGREEMENT OR (H) ANY OTHER DEALINGS OR INTERACTIONS YOU HAVE WITH ANY SERVICE PROVIDERS (OR ANY OF THEIR REPRESENTATIVES OR AGENTS). THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. IN SOME JURISDICTIONS, LIMITATIONS OF LIABILITY ARE NOT PERMITTED. IN SUCH JURISDICTIONS, SOME OF THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU. THIS PARAGRAPH SHALL NOT AFFECT THE RIGHTS LISTED BELOW IN THE SECTION TITLED “INDEMNIFICATION.”
INDEMNIFICATION.You agree to indemnify, defend and hold harmless Herbnatura.com LLC, its officers, managers, owners, employees, agents, designees, users, successors, assigns, service providers and suppliers from and against all losses, liabilities, expenses, damages, claims, demands and costs, including reasonable attorneys’ fees and court costs due to or arising from: (a) any violation of the Terms of Use by you; (b) the Content or other information provided by you to Herbnatura.com or that you submit, transmit or otherwise make available through the Website or Services; (c) your use of the Website or Services; or (d) any violation of any rights of another or harm you may have caused to another. Herbnatura.com shall retain sole control of the defense of any such damage or claim.
Notice.You agree that Herbnatura.com may communicate any notices to you under this Agreement, through electronic mail, regular mail or posting the notices on the Website. All notices to Herbnatura.com will be provided by either sending: (i) an email to support@talkt2pros.com; or (ii) a letter, first class certified mail, to 148 Townsend St #9 San Francisco, CA 94107, Attn: Customer Support. Such notices will be deemed delivered upon the earlier of the verification of delivery or two (2) business days after being sent.
Entire Agreement.This Agreement governs your use of the Website and Services and constitutes the entire agreement between you and Herbnatura.com. It supersedes any prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between you and Herbnatura.com regarding the subject matter contained in this Agreement.
Governing Law & Exclusive Venue. Any and all claims relating to or arising out of your use of the Website or Services shall be governed by the laws of the State of California and litigated in the County of Los Angeles in the State of California. Any disputes, actions, claims or causes of action arising out of or in connection with the Terms of Use or the Website or Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
Miscellaneous.You may not assign these Terms & Conditions without the prior written approval of Herbnatura.com. Any purported assignment in violation of this section shall be void. In the event of any litigation of any controversy or dispute arising out of or in connection with these Terms of Use, its interpretation, its performance, or the like, the prevailing party shall be awarded reasonable attorneys’ fees and expenses, court costs, and reasonable costs for expert and other witnesses attributable to the prosecution or defense of that controversy or dispute.
